Terms of Sale

1. Business Customers Only

SEAT is a wholesale distributor. We sell only to businesses, such as gate, fence, access control and security installers and dealers. We do not sell to homeowners or consumers for personal, family or household use. An approved customer account is required to see pricing and to place orders, including online.

2. Quotes & Pricing

• Prices are in U.S. dollars and may change without notice until an order is accepted.
• Quotes for special-order and non-stock items depend on manufacturer pricing and availability at the time of order.
• Manufacturer tariff surcharges and price increases may be added to an order, shown as separate line items where applicable.
• We may correct pricing, description and availability errors on the Site, in quotes or on invoices, including after an order is placed.

3. Orders

• An order is accepted only when we confirm it, ship it or invoice it. We may decline or cancel any order.
• Special-order and non-stock items cannot be cancelled once ordered from the manufacturer without our approval, and manufacturer cancellation fees may apply.
• Purchase order terms that add to or differ from these Terms do not apply unless we agree in writing.

4. Payment

• COD accounts pay at the time of order or pickup.
• Net terms accounts pay according to the terms approved on their Business Account Application.
• Invoices can be paid with our online payment portal or by the other methods listed on the invoice.
• Past-due balances are charged a late fee of 1.5% per month (18% per year), or the highest rate allowed by law if lower. You agree to pay reasonable costs of collection, including attorney's fees, as permitted by law.
• We may place an account on hold, change its terms or require payment in advance if a balance is past due.
• Until paid in full, SEAT keeps a purchase-money security interest in the products sold.

5. Taxes

Sales tax is added unless a valid resale or exemption certificate for the delivery state is on file with us before the order is invoiced. You are responsible for any tax due on products you buy for resale or exempt use.

6. Shipping, Title & Risk of Loss

Shipping and delivery are covered in our Shipping Policy. Unless we agree otherwise in writing, title and risk of loss pass to you when products are picked up at our counter, delivered by our trucks, or handed to the carrier. Ship dates and lead times are estimates, and we are not responsible for delays caused by manufacturers, carriers or events outside our control.

7. Returns

Returns are covered in our Returns Policy, including the 20% restocking fee and 30-day return window.

8. Warranty

Products are covered only by the manufacturer's warranty, as explained in our Warranty Policy.

Except for the manufacturer's warranty, products are sold "as is." SEAT makes no warranties of its own, express or implied, including any implied warranty of merchantability or fitness for a particular purpose.

9. Installation, Use & Safety Compliance

You are responsible for choosing the right products for each job and for installing them correctly. All products must be installed, adjusted and maintained by trained professionals in line with the manufacturer's instructions, UL 325, ASTM F2200 and applicable building, electrical and fire codes, including required entrapment protection devices. Technical help, product information and chat answers from SEAT are given as a courtesy and do not replace the manufacturer's instructions or your own professional judgment.

10. Limitation of Liability

SEAT is not liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, labor or installation costs, or service calls, even if advised of the possibility. SEAT's total liability for any claim relating to a product will not be more than the price you paid SEAT for that product.

11. Governing Law & Venue

These Terms are governed by the laws of the State of Georgia. Any lawsuit relating to these Terms or any sale must be brought only in the state courts of Gwinnett County, Georgia, or the U.S. District Court for the Northern District of Georgia, and you agree to the jurisdiction of those courts.

12. Other Terms

If any part of these Terms cannot be enforced, the rest remains in effect. Our failure to enforce a term is not a waiver of it. We may update these Terms at any time. The version posted when your order is accepted applies to that order.
